LAW-8043 Corporate Governance
In this seminar, we will discuss a variety of theories and issues concerning corporate governance and the structure of corporate law. We will discuss the implications of the corporate form, including the social consequences of limited liability and the agency costs arising from the separation of equitable ownership and legal control. The course will give particular attention to the various strategies by which corporate law seeks to reduce these agency costs, including debt, fiduciary duties, shareholder litigation, voting, and takeovers. We will also discuss the influence of other parties—including professional advisors, regulators, and the press—on corporate governance. The course will draw on historical events, current events, and your individual experiences. You will be assessed on class participation, weekly short responses to the readings, and a final paper.
